Terms of Service – PureThemes Products

1. Agreement to Terms

“By purchasing, downloading, installing, or using AI Chat & Search Pro (“the Plugin”) or Listing Data Importer (“the Importer”) from purethemes.net, you agree to be bound by these Terms of Service (“Terms”). Listeo and WorkScout themes purchased on ThemeForest are subject to Envato’s licensing terms.”

2. License Grant

2.1 License Types

These terms apply to products purchased directly from purethemes.net.

AI Chat & Search Pro:

Pro License (1 Site):

Grants you the right to use the plugin on one (1) WordPress installation
Includes all Pro features as described on the product page

Pro License (3 Sites):

Grants you the right to use the plugin on up to three (3) WordPress installations
Includes all Pro features as described on the product page

Pro License (10 Sites):

Grants you the right to use the plugin on up to ten (10) WordPress installations
Includes all Pro features as described on the product page

Trial License:

Grants you the right to use the product on one (1) WordPress installation for a limited evaluation period of 3 days
Trial license is non-transferable and limited to one trial per email address/domain
After trial expiration, continued use requires purchase of a paid license
Trial licenses may be revoked if abuse is detected
1 trial can be requested one per email

Listing Data Importer:

Available as a standalone purchase for Listeo theme owners
Grants you the right to use the plugin on the number of installations specified at purchase

Listeo and WorkScout Themes

These themes are sold exclusively on ThemeForest and are subject to Envato Market’s licensing terms.

2.2 License Terms

This is a one-time payment license with no recurring subscription fees
The license is non-transferable and non-exclusive
You may not redistribute, resell, lease, or sublicense any PureThemes products
You retain the license for the product version purchased, but updates and support may be subject to additional terms

3. Third-Party Services

3.1 OpenAI API Requirement

Certain features require an OpenAI API key to function. By using these features, you acknowledge that:

You must create and maintain your own OpenAI account
You are responsible for all costs associated with OpenAI API usage
You must comply with OpenAI’s Terms of Service and Usage Policies
PureThemes is not responsible for OpenAI service availability, pricing changes, or policy modifications
Your use of OpenAI services is subject to OpenAI’s terms, not these Terms

3.2 Google Places API Requirement (Listing Data Importer)

You might use in Listing Data Importer a Google Places API key. By using the Importer, you acknowledge that:

You must create and maintain your own Google Cloud Platform account
You are responsible for all costs associated with Google Places API usage
You must comply with Google’s Terms of Service, including the Google Maps Platform Terms of Service
You are responsible for properly restricting your API key to your domain
PureThemes is not responsible for Google API service availability, pricing changes, or policy modifications
Your use of Google services is subject to Google’s terms, not these Terms

3.3 API Cost Responsibility

You are solely responsible for monitoring and managing your API costs for all third-party services
PureThemes provides usage estimates but does not guarantee specific costs
You should implement your own usage limits and monitoring through your API provider accounts
API costs can vary based on usage volume, geographic location, and provider pricing changes

3.4 Google Data Usage and Compliance

When using the Listing Data Importer, you acknowledge that:

You must comply with Google’s Terms of Service regarding data usage
You are responsible for proper attribution and compliance with Google’s display requirements
You must respect Google’s caching requirements and refresh policies
Violation of Google’s terms may result in API access revocation by Google

4. Permitted Use

You may use PureThemes products to:

Install and activate them on the permitted number of WordPress installations
Customize product settings and appearance for your websites
Use products for personal or commercial websites
Modify products for your own use (modifications are not supported)
Import and display business listing data on your website (Listing Data Importer)
Generate AI-enhanced content for your website using third-party APIs

5. Prohibited Use

You may not:

Redistribute, resell, or share PureThemes products with others
Use products on more sites than your license permits
Remove or modify copyright notices or license information
Reverse engineer, decompile, or disassemble products (except as permitted by law)
Use products for illegal purposes or to violate third-party rights
Share your license key with others
Use products to create competing products
Scrape or collect data in violation of third-party terms of service
Use scraped data in ways that violate applicable data protection laws

6. Listing Data Importer – Specific Terms

6.1 Data Source and Accuracy

You acknowledge that:

You are responsible for verifying the accuracy of imported data
Imported data may become outdated and require periodic updates

6.2 API Usage and Limitations

You acknowledge that:

Import functionality depends on Google Places API availability and your API quota
Google may limit the number of requests per day based on your billing settings
API costs are charged by Google based on the number of API calls and data types requested
Importing listings with photos, reviews, and AI descriptions will incur higher API costs
PureThemes provides cost estimates but actual costs may vary

6.3 Content Generation

When using AI-generated descriptions:

You acknowledge that OpenAI generates content based on available data
AI-generated content may require review and editing
You are responsible for ensuring AI-generated content complies with applicable laws
You must not present AI-generated content as original reviews or testimonials

6.4 Photo Storage and Usage

Regarding imported photos:

You may choose to store photos on your server or display them from Google’s servers
You must comply with Google’s Terms of Service regarding photo display and attribution
You are responsible for obtaining necessary rights for any modifications to photos
PureThemes is not responsible for copyright issues related to imported photos

7. Performance and Limitations

7.1 Technical Limitations

You acknowledge that:

Product performance depends on your server resources (CPU, memory)
MySQL lacks native vector search capabilities, which may affect search speed (AI Chat & Search Pro)
AI Chat & Search Pro is optimized for sites with up to 5,000 training data items
Sites with 5,000+ items, high traffic, or extensive long-form content may experience performance limitations
Search speed and accuracy depend on factors outside PureThemes’ control

7.2 No Performance Guarantees

PureThemes does not guarantee:

Specific response times, search speeds, or import speeds
Accuracy of AI-generated responses or descriptions
Availability or accuracy of third-party API data
Compatibility with all WordPress themes and plugins
Uninterrupted or error-free operation
Specific number of successful imports per API call

8. WordPress Compatibility

Products are designed for WordPress websites
You are responsible for maintaining compatible WordPress, PHP, and MySQL versions
Updates to WordPress or other plugins may affect product functionality
PureThemes will make reasonable efforts to maintain compatibility with current WordPress versions

9. Support and Updates

9.1 Support

Support is provided via email at support@purethemes.net
Support is provided on a reasonable-effort basis
PureThemes reserves the right to limit or discontinue support at any time
Support does not include custom development or modifications
Support does not cover third-party API issues, costs, or configuration
Support is valid for 1 year from the purchase date. It can be extended later at 50% of the product price.

9.2 Updates

Updates may be provided at PureThemes’ discretion
Updates may require an active license or additional payment
You are not obligated to install updates
PureThemes may discontinue updates for older versions

10. Refund Policy

10.1 Refund Eligibility

Refunds may be requested within 7 days of purchase if:

The product has a critical bug that prevents basic functionality
The product is incompatible with a standard WordPress installation
You have contacted support and the issue cannot be resolved

10.2 No Refund Situations

Refunds will not be provided for:

Change of mind or buyer’s remorse
Lack of technical skills to use the product
Incompatibility with non-standard themes or plugins
Third-party API costs or issues (OpenAI, Google Places)
Performance limitations disclosed in product documentation
Failure to read product description or limitations
API quota limits imposed by third-party services
Inaccurate or outdated data from third-party sources
Purchase made after activating a free trial license, as the trial period allows full evaluation of product functionality and suitability before committing to purchase

10.3 Refund Process

To request a refund:

Contact support@purethemes.net within 7 days of purchase
Provide your order number and detailed reason for the refund request
Allow up to 14 business days for refund processing

11. Data and Privacy

11.1 Data Controller Status

When using AI Chat & Search Pro or other PureThemes products that process visitor data:

You are the data controller under GDPR and other applicable privacy laws
PureThemes is not a data processor, as we do not access, store, or process your visitors’ data
All chat conversations and visitor data remain on your WordPress server
PureThemes has no access to your visitors’ personal information

11.2 Your Responsibilities

You are solely responsible for:

Complying with all applicable data protection laws (GDPR, CCPA, etc.)
Informing your website visitors about AI chatbot usage and data collection
Providing appropriate privacy notices on your website
Obtaining necessary consents before processing visitor data
Configuring data retention settings appropriately
Responding to data subject requests (access, deletion, correction)
Disclosing international data transfers to AI providers (OpenAI, Google) in your privacy policy

11.3 Third-Party AI Providers

When visitors interact with the AI chatbot, their messages are sent to third-party AI providers (OpenAI or Google). You acknowledge that:

These transfers may involve sending data outside the European Economic Area
You are responsible for disclosing these transfers to your visitors
AI provider data processing is subject to their respective terms and privacy policies
PureThemes has no control over how AI providers handle data

11.4 Data Liability Disclaimer

PureThemes is not liable for:

Your failure to comply with data protection laws
Data breaches occurring on your server or infrastructure
Improper configuration of privacy settings in our products
Claims from your visitors regarding data handling
Fines or penalties imposed by data protection authorities
Any data processing performed by third-party AI providers

11.5 AI-Generated Content Disclaimer

You acknowledge that:

AI responses are generated by third-party models (OpenAI, Google) and may contain inaccurate, incomplete, misleading, or inappropriate content
PureThemes has no control over AI-generated responses
You are solely responsible for reviewing, moderating, and approving AI-generated content on your website
PureThemes is not liable for any damages, losses, or claims arising from AI-generated content, including but not limited to: defamation, misinformation, incorrect advice, offensive content, or reputational harm

11.6 No Compliance Guarantee

The plugin provides tools to assist with privacy compliance (consent notices, IP anonymization, auto-deletion). However:

These tools do not guarantee legal compliance
You are responsible for determining whether your implementation meets applicable legal requirements
PureThemes does not provide legal advice
We recommend consulting a qualified legal professional regarding your specific compliance obligations

11.7 System Prompt and Configuration

You are solely responsible for:

Custom instructions and system prompts you provide to the AI
Any content or responses resulting from your configuration choices
Ensuring your instructions do not cause the AI to produce harmful, illegal, or inappropriate content

12. Content Responsibility

12.1 Your Content

You are solely responsible for:

All content used to train AI features
Custom instructions and prompts provided to AI
Ensuring your content does not violate laws or third-party rights
The accuracy and appropriateness of information on your website
How you present and use imported business listing data
Compliance with advertising and consumer protection laws

12.2 AI-Generated Responses and Descriptions

You acknowledge that:

AI responses are generated by OpenAI’s models
AI may produce inaccurate, inappropriate, or unexpected content
You are responsible for monitoring and moderating AI-generated content
PureThemes is not liable for AI-generated content
You should review AI-generated descriptions before publishing

12.3 Third-Party Content

You acknowledge that:

Business information, reviews, and photos are provided by third parties
PureThemes does not verify the accuracy of third-party content
You are responsible for how you display and use third-party content
You must respect intellectual property rights in imported content

13. Intellectual Property

13.1 Ownership

PureThemes retains all rights to product source code and design
Your license grants usage rights only, not ownership
Trademarks, logos, and branding remain property of PureThemes

13.2 Your Content

You retain ownership of your website content and data
You grant PureThemes no rights to your content

13.3 Third-Party Content

Imported business data, photos, and reviews are subject to third-party rights
You must comply with attribution and usage requirements

14. Warranty Disclaimer

THE PRODUCTS ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

Warranties of merchantability or fitness for a particular purpose
Warranties of accuracy, reliability, or error-free operation
Warranties of uninterrupted or secure operation
Warranties that products will meet your requirements
Warranties regarding the accuracy of third-party data
Warranties regarding API availability or costs

15. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

PureThemes’ total liability shall not exceed the amount you paid for the product
PureThemes is not liable for indirect, incidental, consequential, or punitive damages
PureThemes is not liable for loss of profits, data, or business opportunities
PureThemes is not liable for third-party service issues, costs, or content (including OpenAI and Google)
PureThemes is not liable for AI-generated content or scraped data
PureThemes is not liable for third-party plugins or services
PureThemes is not liable for violations of third-party terms of service by users
PureThemes is not liable for API costs or quota limitations
PureThemes is not liable for business losses, lost revenue, lost customers, or reputational damage resulting from AI chatbot responses or malfunctions
PureThemes is not liable for any regulatory fines, legal fees, or compliance costs

16. Indemnification

You agree to indemnify and hold harmless PureThemes from any claims, damages, or expenses arising from:

Your use of PureThemes products
Your violation of these Terms
Your violation of applicable laws
Content you provide or generate using products
Your use of third-party services (including OpenAI and Google)
Your violation of third-party terms of service
Claims by businesses or individuals regarding imported data
Intellectual property infringement related to imported content
Claims arising from your data processing activities or privacy law violations
Data protection authority investigations or fines related to your use of our products

17. Termination

17.1 Termination by You

You may stop using products at any time by uninstalling them.

17.2 Termination by PureThemes

PureThemes may terminate your license if you:

Violate these Terms
Use products in ways not permitted by your license
Engage in fraudulent or illegal activities
Violate third-party terms of service in a manner that affects PureThemes

17.3 Effect of Termination

Upon termination:

Your right to use products immediately ceases
You must uninstall all PureThemes products from all websites
No refund will be provided for voluntary termination

18. Changes to Terms

PureThemes reserves the right to modify these Terms at any time. Changes will be effective upon posting to the PureThemes website. Your continued use of products after changes constitutes acceptance of the modified Terms.

19. Changes to Products

PureThemes reserves the right to:

Modify, update, or discontinue features
Change pricing for future versions
Discontinue products entirely
Modify API integrations based on third-party requirements

20. Governing Law

These Terms are governed by the laws of Poland, without regard to conflict of law provisions. Any disputes shall be resolved in the courts of Poland.

21. Severability

If any provision of these Terms is found invalid or unenforceable, the remaining provisions will continue in full force and effect.

22. Entire Agreement

These Terms constitute the entire agreement between you and PureThemes regarding products and supersede all prior agreements or understandings.

23. No Agency

Nothing in these Terms creates a partnership, agency, or employment relationship between you and PureThemes.
