  • Listeo Cloud Terms of Service

Version 1.1. Effective from 2 October 2026.

1. Parties, provider, contact, DSA points of contact

1.1. The Listeo Cloud service (the “Service”) is provided by Łukasz Girek, a sole proprietorship doing business as Łukasz Girek Purethemes.net, registered in the Polish Central Register and Information on Economic Activity (CEIDG), address: ul. Marszałka Rydza Śmigłego 5B/44, 41-219 Sosnowiec, Poland, tax ID (NIP) 6292371225 (the “Provider”, “we”). The Provider operates under the PureThemes brand (purethemes.net).

1.2. The “Customer” (“you”) is the person or entity that creates an account and orders the Service.

1.3. General contact and the point of contact for recipients of the Service under Article 12 of Regulation (EU) 2022/2065 (DSA): [email protected].

1.4. Abuse reports and the point of contact for Member State authorities, the European Commission and the European Board for Digital Services under Article 11 DSA: [email protected]. You can communicate with us in Polish or English.

1.5. Data protection matters: [email protected]. Copyright infringement notices: [email protected].

1.6. These Terms are available free of charge before you enter into the contract, at https://purethemes.net/listeo/listeo-cloud/terms/. You can download, save and print them.

2. Definitions, technical requirements, account, age

2.1. Definitions:

  • “Instance”: your own WordPress installation run as part of the Service.
  • “Panel”: the customer panel at purethemes.net used to manage your subscription and Instance.
  • “MoR” (Merchant of Record): the payment provider that sells you the subscription in its own name (section 4).
  • “AUP”: the Acceptable Use Policy, a separate document (section 6).
  • “DPA”: the Data Processing Agreement, a separate document (section 17).
  • “Consumer”: a natural person as described in section 22.2.
  • “Customer Content”: everything that you and the users of your Instance place in the Instance: text, images, listings, booking data, plugins, themes, code.
  • “Trial”: a 7-day period at the start of the subscription for which you do not pay (sections 4.8 to 4.12).

2.2. Technical requirements: a device with internet access, a current browser with JavaScript and cookies enabled, and an active email address. To connect your own domain you need access to that domain’s DNS settings.

2.3. An account can be created by an adult (18 years). A minor may use the Service only with the consent of a legal guardian. The account is intended for persons running a business and for adult consumers.

2.4. When registering, you provide true and current details and keep them up to date. One account can hold several Instances. Each Instance has its own subscription.

2.5. The Panel and wp-admin use only cookies that are strictly necessary for operation. Details are in the Privacy Policy.

2.6. A breach of these Terms or the AUP may result in restriction, suspension or termination of the contract under sections 6, 14 and 15.

3. Description of the Service, plan, resources and fair use, pilot, migration

3.1. Listeo Cloud is managed WordPress hosting with the Listeo theme preinstalled (a directory and booking theme). You receive your own WordPress Instance with access to wp-admin.

3.2. Plan. The Service has one plan: Listeo Cloud. It includes WordPress, the Listeo theme and all our premium plugins: Monetization Plus, PurioChat Pro, Listing Data Importer and Booking Plus.

3.3. Scope of access: full wp-admin and the ability to install any plugins and themes. No SSH access. SFTP access is currently not available.

3.4. Resources and fair use. Your Instance runs on infrastructure shared with other Customers. Isolation between Instances is a technical limit, not a guarantee. We may:

  • limit CPU, memory, PHP processes, database or disk usage when an Instance disrupts other Instances;
  • ask you to reduce usage when you persistently exceed reasonable resource use;
  • disable a plugin or script that harms the server or other Customers. Where possible we give notice first.

3.5. Pilot. The Service is in a pilot phase. This means limited capacity, possible interruptions, some operations performed manually (for example restores from backup, data export, and suspension and deletion of Instances), and no availability guarantee (section 11). By purchasing during the pilot you acknowledge this. The pilot period lasts until we announce its end by email.

3.6. Temporary address. Each Instance receives an address <random>.listeo.pro. The listeo.pro domain belongs to us. The temporary address is marked noindex for search engines. You can connect your own domain (section 10).

3.7. Migration of an existing site. At your request we can move your existing WordPress site from your current host to Listeo Cloud. We perform the migration. You install a plugin we specify on your current site and give us a one-time key. With that key we pull a copy of the site’s database, files, child theme and media. We do not change your current site. By giving us the key, you authorise this access solely for the migration. You are responsible for having the rights to the data being moved and to grant us access. We process personal data contained in the migrated site as a processor under the DPA (section 17.1). Migration is free of charge, available once per site, and done within a reasonable time without a guaranteed date. You provide the licences for plugins and themes outside the Listeo Cloud set (for example bought in other stores). After the migration we revoke the key on our side and you remove the plugin from your existing site.

4. Conclusion of the contract, MoR, price, auto-renewal, reminders, trial

4.1. The contract is concluded when we confirm by email that your order has been accepted. For an order with a Trial, this is the moment the Trial starts. For an order without a Trial, this is the moment your paid order is accepted. We create the Instance promptly after the contract is concluded. Exception: for a Consumer who orders without a Trial and has not made the request in section 22.4, we create the Instance after the 14-day withdrawal period ends. Before you place the order you receive these Terms, the AUP, the DPA, the Privacy Policy and the Refund and Cancellation Policy to review.

4.2. Merchant of Record. Subscription sales are handled by an MoR: Dodo Payments (active), Paddle and Polar (planned). The MoR is the seller of record towards you: it collects payment, calculates and remits VAT and other taxes, issues invoices and receipts, and handles refunds and chargebacks. The MoR is an independent controller of your payment data and acts under its own terms, which you accept at checkout.

4.3. We are responsible for the content of these Terms, delivery of the Service, support, data protection, and for settling refund costs with the MoR.

4.4. Price. All prices in these Terms are net prices: the MoR adds VAT or other tax applicable in your country, and you see the final amount at checkout before you pay. The regular price of the Service is USD 299 per year. A promotional price applies to all new Customers: USD 199 for the first year. The promotion is limited in time and valid until withdrawn. It covers orders placed while it runs. Every renewal costs USD 299, including when you paid the promotional price for the first year. The checkout shows both amounts: USD 199 for the first year and USD 299 for each renewal. The amount including taxes, the currency and the term are shown by the MoR at checkout before you place the order. The order button is labelled as an order with an obligation to pay.

4.5. Term. The subscription is annual. It renews automatically for another year at USD 299 until you cancel. You give your consent to automatic renewal at purchase. The MoR sends a confirmation of the terms on a durable medium (email).

4.6. Renewal reminder. At least 30 days before each annual renewal we send an email with the renewal date, the amount (USD 299) and how to cancel. You cancel through the Merchant of Record’s customer portal link in your receipt or by email to [email protected].

4.7. Cancellation. You can cancel your subscription at any time, through the Merchant of Record’s customer portal link in your receipt or by email to [email protected]. Cancellation takes effect at the end of the paid year, and during a Trial as set out in section 4.12. Until then the Instance keeps running. Before cancelling, download a copy of your data (section 16). Cancellation instructions are in the Refund and Cancellation Policy.

4.8. Trial. A new subscription can start with a 7-day Trial. To start it you must provide a payment card at the MoR checkout. You do not pay for the Trial.

4.9. One Trial per Customer. The Trial is available once. We treat it as already used when, according to the order history held by the Merchant of Record, the same email address or the same payment method was already used for a Trial. In that case we do not grant another Trial.

4.10. End of the Trial. After 7 days the MoR automatically charges your card USD 199 for the first year (section 4.4) and the first paid year starts. We do not charge you if you cancel before the Trial ends. If the charge fails, section 15.3 applies.

4.11. Trial end reminder. 3 days before the Trial ends we send an email with the charge date, the amount and how to cancel.

4.12. Cancelling during the Trial. If you cancel during the Trial, we do not charge you. The Instance keeps running until the end of the 7-day Trial. Then we suspend it. We delete the Instance data 30 days after suspension. During that time you can request a data export (section 16.3). A suspended Instance is not covered by backups (section 11.1).

5. Withdrawal (consumers), cancellation, refunds

5.1. A Consumer has the right to withdraw from the contract within 14 days of its conclusion without giving a reason. The rules, including the full refund for a Trial and pro rata settlement for a purchase without a Trial, are in section 22 and in the Refund and Cancellation Policy.

5.2. Beyond the statutory right of withdrawal we do not offer refunds. The MoR may refund a payment in exceptional cases under its own rules. This does not limit your statutory rights.

5.3. Cancelling the subscription ends the contract at the end of the paid year. We do not refund the unused part of the year unless section 22 or the law provides otherwise.

5.4. Download a copy of your data before cancelling (section 16). After the contract ends, data is deleted under section 16.

6. Customer Content, content licence, AUP, notices and moderation

6.1. Customer Content belongs to you or to your users. You grant us a non-exclusive licence to store, copy (including in backups), transmit and display Customer Content solely to the extent needed to provide the Service.

6.2. Prohibition of unlawful content. You must not supply unlawful content through the Service or use the Service for unlawful activities. The full list of prohibited content and activities, resource limits and the moderation procedure is in the Acceptable Use Policy, which forms part of the contract.

6.3. Your Instance is a platform for your users. You are responsible for the content they publish, for moderating it, and for your own obligations under the DSA and national law.

6.4. Notices. Anyone can report content they consider unlawful to [email protected]. A notice should contain the reasons, the exact URL, the reporter’s name and email address (exception: reports of child sexual abuse material may be anonymous) and a good-faith statement. We confirm receipt, review the notice without undue delay, diligently and objectively, and inform the reporter of our decision. Copyright notices under the DMCA go to [email protected].

6.5. Moderation procedure. When we find a breach of the AUP or the law, we may: ask you to remove the content, restrict the visibility of the content, disable an element of the Instance, or suspend the Instance or account. We act proportionately and choose the least severe measure that is sufficient. Decisions on measures are taken by a person. We use automated tools only to detect malware and technical abuse.

6.6. Two modes of suspension:

  • immediate, without prior notice: when the content or activity threatens the platform, other Customers or the safety of persons, or when the law or an order of an authority requires it;
  • in all other cases: notice by email and 24 hours to cure the breach. We suspend only if the breach is not cured within that time.

6.7. Every decision to restrict, suspend or remove content is explained under section 14.

6.8. Repeated copyright infringement leads to termination of the contract. Details of the repeat infringer policy are in section 9 of the Acceptable Use Policy and in Report abuse and DMCA.

7. Software licence, trademarks

7.1. The PHP code of WordPress, the Listeo theme and the plugins supplied as part of the Service is licensed under the GNU GPL version 2 or later. Your GPL rights to the code you have received do not expire when the contract ends.

7.2. The proprietary assets of the Listeo theme and the premium plugins (CSS stylesheets, JavaScript files, images, graphic design) are licensed for the duration of your subscription. The licence is non-exclusive, non-transferable and covers use in your Instance. It expires when the contract ends. You may not redistribute or sublicense these assets.

7.3. The trademarks “Listeo”, “PurioChat” and “PureThemes” are reserved. These Terms grant no licence to use them in the name, logo or brand of your service.

7.4. A ThemeForest licence (Regular License) bought for the Listeo theme does not cover use in Listeo Cloud and is not required here. Listeo Cloud grants its own licence as described in this section.

7.5. Software updates and support are available only during the subscription.

7.6. Third-party plugins and themes that you install are subject to their own licences. You are responsible for them.

8. Third-party services and Customer keys (maps, AI, SMTP)

8.1. Some Listeo features require external services: maps (Google Maps, Mapbox), AI services (OpenAI and others), an SMTP server for sending email, payment gateways and other APIs.

8.2. You create the API keys for these services yourself, on your own account, at your own cost and under the provider’s terms. You are responsible for compliance with those terms, including obligations towards your own users (for example the Google Maps Platform terms).

8.3. We are not responsible for the availability, changes, costs or limits of external services. If an external provider changes or withdraws an API, the feature may stop working until it is updated.

9. Customer obligations: security, updates, legality, PCI, email

9.1. Account security. You protect your Panel and wp-admin passwords, use strong passwords and do not share your account with third parties. You are responsible for actions taken from your account. You report any suspected unauthorised access to us without delay.

9.2. Updates. We update WordPress, the Listeo theme and our plugins (section 13). You keep the plugins and themes you install yourself up to date and remove those that are insecure or abandoned.

9.3. Legality. You are responsible for your Instance’s compliance with the law: terms and privacy policy for your users, consents, cookies, rights to content, and consumer protection in your country.

9.4. Payments on your site. If you sell through your Instance (WooCommerce, bookings), you are the merchant towards your users. You are responsible for your own PCI DSS compliance, including completing the applicable SAQ. Card numbers must not be stored in the Instance or on the platform. Payments are handled by external gateways. We provide infrastructure and are not a payment processor.

9.5. Email. Email from your Instance is sent through an SMTP server that you configure (via a plugin). You are the sender and the data controller for that correspondence. You maintain the SPF, DKIM and DMARC records of your domain. We may limit volume or block sending that breaches the AUP. We do not warrant email deliverability. You send marketing messages only with the recipients’ consent.

9.6. You do not circumvent resource limits and do not attempt to access other Instances or infrastructure beyond the scope made available to you.

10. Domains and certificates

10.1. Your own domain belongs to you. We never become the registrant of your domain and do not register domains on your behalf.

10.2. You connect a domain using CNAME and TXT records as instructed in the customer documentation. If you use a CAA record, you add an entry that allows the certificate to be issued. The TLS certificate is issued and renewed automatically (Cloudflare for SaaS). Incorrect DNS configuration on your side may prevent the certificate from being issued.

10.3. When the contract ends, we remove your domain and certificate from the platform. The temporary address <random>.listeo.pro belongs to us and is not transferable.

11. Backups, availability, maintenance, no SLA during the pilot

11.1. Backups (status as of 2 October 2026):

  • Instance database: the target is a backup four times a day, stored off-server, encrypted;
  • Instance files (plugins, themes, local uploads, configuration): the target is a backup once a day;
  • media in object storage (images and other files uploaded to the media library): currently not covered by backups;
  • a suspended Instance (sections 4.12, 14 and 15.3) is not covered by backups while it is suspended;
  • retention: target of every copy from the last 48 hours, 14 daily, 8 weekly and 6 monthly; until rotation is enabled we keep all backups.

The backup schedule is a target, not a commitment. Backups may sometimes not run.

11.2. Restores are performed by us, at your request, to a selected available point in time. Self-service restore is not available.

11.3. Backups are a precaution, not a guarantee. We do not guarantee that data loss will not occur. You keep your own independent copies of important data outside the platform, in particular copies of your media.

11.4. Availability. During the pilot we give no availability guarantee (no SLA, best-effort operation). We do not commit to a specific response time for outages. We do what is reasonably possible to keep the Service running stably.

11.5. Maintenance. We may carry out maintenance work that causes interruptions. We announce planned work in advance where possible. Urgent work, in particular related to security, may take place without notice.

12. Support scope and complaints procedure

12.1. Support covers: operation of the platform, the Panel, WordPress core, the Listeo theme and our plugins, domain connection, restores from backup and data export.

12.2. Support does not cover: third-party plugins and themes, your own code and modifications, debugging performance issues caused by your configuration, content creation, site design or legal advice.

12.3. Channel: [email protected]. We respond on business days. During the pilot we do not commit to a response time.

12.4. Complaints procedure. You submit a complaint to [email protected], stating your account details, a description of the problem, the date it occurred and the outcome you expect. We respond within 14 days of receiving the complaint. For Consumers, section 22 applies in addition.

13. Changes to the Service, updates, migrations, withdrawal of components

13.1. We update WordPress, the Listeo theme, our plugins and platform components (PHP, database, web server). Security updates may be deployed without notice.

13.2. We may move your Instance to another server or data centre within the locations described in the DPA. We take care of continuity and inform you when the move requires a change on your side (for example in DNS).

13.3. We may change or withdraw a component of the Service (for example a plugin or a PHP version) where justified by security, cost, changes at our suppliers or product development. For a change that materially reduces availability or functionality, we give 30 days’ notice. You may then terminate the contract before the change takes effect.

13.4. We may discontinue the Service entirely (end of life). We give at least 2 months’ notice and provide a data retrieval period under section 16.

14. Suspension and statement of reasons

14.1. We may suspend an Instance or account in the cases described in section 6.6 (two modes), section 15 (non-payment), and where necessary for platform security. Suspension after cancelling during a Trial is described in section 4.12.

14.2. We explain every decision to suspend, restrict or remove content by email. We state: the basis (a provision of law or a point of the AUP), the facts, whether the decision followed a notice or our own findings, whether automated means were used, the scope and duration of the measure, how to appeal, and the availability of out-of-court dispute settlement and judicial redress.

14.3. You submit an appeal within 14 days of receiving the decision by replying to the decision email or writing to [email protected]. Appeals are reviewed by a person who did not take the original decision, not by automated means. We respond within 14 days.

14.4. A suspension caused by reasons on your side does not release you from paying for the period of suspension. We lift the suspension without delay once the reason no longer applies.

15. Termination by either party, non-payment, grace period

15.1. You may cancel the subscription at any time as described in section 4.7, effective at the end of the paid year. Separately, you may start switching to another provider at any time under section 16. The notice period for that purpose never exceeds 2 months.

15.2. We may terminate the contract:

  • with 30 days’ notice, for a valid reason, for example a change in the law; for discontinuation of the Service as a whole the 2-month notice in section 13.4 applies;
  • with immediate effect, when you seriously breach these Terms or the AUP, when breaches are repeated despite notices (section 9.2 of the AUP), or when the law or an order of an authority requires it. A breach that is not cured despite notice leads to suspension (section 6.6), and to termination only where it is serious or repeated.

15.3. Non-payment. When a renewal payment or the first charge after the Trial (4.10) fails:

  • the MoR retries the payment and informs you by email;
  • for 7 days from the failed payment the Instance keeps running normally (grace period);
  • after the grace period we suspend the Instance. It is then not publicly accessible and not covered by backups. The data remains, and at your request we make it available for download (section 16.3);
  • if payment is not received within 30 days of suspension, the contract expires and the Instance and its data are deleted. The suspension period is at the same time the data retrieval period under section 16.5 and is not counted again.

15.4. Paying the outstanding amount during the grace period or suspension restores the Instance.

16. Switching providers and data export (Data Act), data after termination

16.1. You may at any time switch to another provider, move your Instance to your own infrastructure or another host, or use several providers in parallel. We charge no fees for export, outbound data transfer or switching.

16.2. Exportable data (exhaustive list):

  • a full dump of the Instance database (SQL);
  • WordPress files: plugins, themes, local uploads, configuration (without our infrastructure secrets);
  • an archive of media from object storage;
  • a WordPress content export in WXR (XML) format.

The formats are structured and machine-readable. We do not export platform configuration, system logs or infrastructure keys.

16.3. How to export. During the pilot we perform exports on request sent to [email protected]. We make the archive available within 7 days from the request. If you request an export within the data retrieval period, we do not delete the data before the archive has been made available. You can also use the WordPress export tools and migration plugins yourself from wp-admin. The procedure is described in Data and security.

16.4. Transition period. When you move to another provider, at your request we provide a transition period of up to 30 days during which the Instance keeps running and the data remains available for download. Where technically necessary we may extend this period once, informing you before it ends.

16.5. Data after termination. After the contract ends, for whatever reason and subject to sections 4.12 and 15.3, the Instance data remains available for download for 30 days. After that we delete the Instance and its data. Backups are deleted within the rotation window set out in section 11.1, and no later than 90 days after the data retrieval period ends; until automatic rotation is enabled we purge them manually. On your request we confirm the deletion.

16.6. After the licence to proprietary assets expires (section 7.2), you may continue to use the PHP code under the GPL.

17. Data protection, DPA and Privacy Policy

17.1. For personal data processed in your Instance (data of your users, customers, bookings) you are the controller and we are the processor. The rules are set out in the Data Processing Agreement, which you accept when creating the account and which forms part of the contract. The DPA contains the list of sub-processors (Netcup, Cloudflare, Hetzner, Help Scout), data locations, security measures, the breach notification deadline of 72 hours, and the rules for notifying new sub-processors with a right to object within 14 days.

17.2. For your account, billing and support data we are the controller. The rules are in the Privacy Policy.

17.3. Payment data is processed by the MoR as an independent controller.

17.4. Site servers and backups are located in Germany. Media is stored in Cloudflare R2 (Cloudflare, Inc.). Cloudflare network, DNS, TLS and cache operate on a global network. Details are published in Data and security.

18. Disclaimer of warranties, limitation of liability, indemnity

18.1. We provide the Service with due care, as described in these Terms. To the extent permitted by law we give no other warranties, in particular no warranty of uninterrupted operation, fitness for a particular purpose or business results.

18.2. Limitation of liability (Customers who are not Consumers). Our total liability in contract and in tort is limited to the fees you paid for the Service in the 12 months before the event. We are not liable for lost profits, loss of data, business interruption or indirect damages. These limitations do not apply to damage caused intentionally or in other cases where the law does not allow liability to be limited.

18.3. Consumers. Towards Consumers we are liable under statutory rules. Section 18.2 does not apply to them. Section 22 applies.

18.4. Indemnity (Customers who are not Consumers). You will hold us harmless and cover the reasonable costs, including defence costs, of third-party claims arising from Customer Content, from your breach of these Terms or the AUP, or from the operation of your Instance towards your users.

18.5. You are liable to us for the costs of refunds and chargebacks resulting from your actions contrary to these Terms, to the extent the MoR charges them to us and the law permits.

19. Force majeure

19.1. Neither party is liable for non-performance caused by an event beyond its reasonable control: failure at infrastructure or network suppliers, DDoS attack, natural disaster, acts of authorities, war, strike, or interruption of power or connectivity.

19.2. The party affected by force majeure informs the other party and limits the effects of the event. If force majeure lasts longer than 30 days, either party may terminate the contract with immediate effect. The obligation to pay for services already performed remains.

20. Changes to the Terms and prices

20.1. We may change these Terms, the AUP, the DPA or the prices for valid reasons: changes in the law or its interpretation, decisions of authorities, changes at our infrastructure suppliers or the MoR, changes in the cost of providing the Service, changes in Service features, security reasons or editorial corrections.

20.2. We notify you of a change by email at least 30 days before it takes effect and state the scope of the change. A new price applies from the first annual period starting after that notice period. Moving from the promotional first-year price to USD 299 at renewal is not a price change. We inform you of it at purchase (section 4.4) and in the renewal reminder (section 4.6).

20.3. If you do not accept a change, you may terminate the contract before it takes effect, free of charge, effective at the end of the current annual period. If you do not terminate, you continue to use the Service under the new terms.

20.4. Changes solely in the Customer’s favour and changes required by law may take effect earlier.

21. Governing law and jurisdiction, subject to consumer rights

21.1. The contract is governed by Polish law. Disputes with Customers who are not Consumers are resolved by the court having jurisdiction over the Provider’s address stated in section 1.1.

21.2. For Consumers, the choice of Polish law and courts does not limit the protection of the law of the country of their habitual residence. Details are in section 22.11.

21.3. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

22. Consumer provisions, final provisions, withdrawal form

22.1. Precedence. The consumer provisions (22.2 to 22.13 and the last sentence of 22.17) prevail over the other provisions of these Terms in case of conflict. They do not limit any Consumer rights arising from mandatory law.

22.2. Who is a Consumer. A natural person who purchases the Service for purposes not directly related to their trade or profession, and a natural person running a business where the contract is not of a professional nature for them. In case of doubt we treat a natural person as a Consumer. We do not require a declaration about the nature of the purchase.

22.3. Right of withdrawal. You may withdraw from the contract within 14 days of its conclusion without giving a reason. For an order with a Trial, the period runs from the start of the Trial (section 4.1). It is enough to send a statement to [email protected] before the deadline. You may use the model withdrawal form (Annex A), but any clear statement is enough. We confirm receipt of your statement by email.

22.4. Starting the service before the period ends. This section applies only to a purchase without a Trial, if such a purchase is available. For an order with a Trial we do not ask for this request. We then create the Instance right away (section 4.1). For a purchase without a Trial we create the Instance before the 14-day period ends only if you expressly request it. You make this request by email to [email protected], stating: “I request that the Listeo Cloud service starts before the withdrawal period ends. I understand that if I withdraw, I will pay for the service in proportion to the period of use.” We confirm your request on a durable medium (email).

22.5. Effect of withdrawal. Order with a Trial: the 14-day period runs from the start of the Trial. If you withdraw before the charge in section 4.10, the Trial ends at no cost. If you withdraw after the charge, the MoR refunds the full USD 199 within 14 days using the same payment method. We deduct nothing for the days you used the Service. Purchase without a Trial: if you withdraw after making the request in 22.4, you pay an amount proportional to the period from creation of your Instance to the day of withdrawal, calculated at the annual price you paid. The MoR refunds the rest within 14 days using the same payment method. If you did not make the request in 22.4, you bear no costs if you withdraw. We then create the Instance only after the 14-day period ends (section 4.1).

22.6. Conformity of the digital service. We are responsible for the conformity of the Service with the contract under Articles 43h to 43q of the Polish Consumer Rights Act (implementing Directive (EU) 2019/770). We supply updates, including security updates, necessary to keep the Service in conformity for the duration of the contract. If the Service is not in conformity, you may require us to bring it into conformity. We do so within a reasonable time and at no cost to you. If this is impossible, disproportionately costly or unsuccessful, you may request a price reduction or withdraw from the contract. You do not pay for the period during which the Service was not in conformity. We are not responsible for a lack of conformity caused solely by your failure to meet the technical requirements in section 2.2, of which we informed you, or by your modifications, third-party plugins or external services.

22.7. Modification of the service. We may modify the Service in a way that is not necessary to maintain conformity only for the valid reasons listed in section 20.1, at no additional cost to you and with notice. If the modification materially and negatively affects your access to or use of the Service, we inform you 30 days in advance. You may then terminate the contract free of charge within 30 days of receiving the notice or of the modification taking place.

22.8. Liability towards Consumers is statutory. We do not exclude or limit liability for damage caused intentionally, for personal injury, or to any other extent prohibited by law.

22.9. Complaints. You submit a complaint under section 12.4. We respond within 14 days. If we do not respond within that time, the complaint is deemed accepted.

22.10. Out-of-court dispute resolution. You may use mediation or the permanent consumer arbitration court at a Provincial Inspectorate of the Trade Inspection in Poland, the help of a district (municipal) consumer ombudsman, and the European Consumer Centres network. A Consumer outside Poland may use the bodies competent in their own country. Use of these procedures is voluntary.

22.11. Law and courts. The choice of Polish law (section 21) does not deprive you of the protection of the mandatory provisions of the country of your habitual residence. You may sue us before the court of your place of residence. We may sue you only before that court.

22.12. Pre-contractual information. Before purchase we provide on the Listeo Cloud page at purethemes.net and at the MoR checkout: the price including taxes for the first year and the price of each renewal, the subscription term, the Trial terms, the termination conditions and the way to withdraw. We or the MoR confirm them by email after purchase.

22.13. Termination by the Provider. If we terminate the contract with a Consumer (section 15.2), the MoR refunds the unused period pro rata, unless termination is for the Consumer’s serious breach of the contract.

22.14. Entire agreement. These Terms together with the Acceptable Use Policy, the Data Processing Agreement, the Privacy Policy and the Refund and Cancellation Policy form the entire agreement. In case of conflict between these documents, the DPA prevails in personal data matters, then these Terms, then the other documents.

22.15. If any provision is found invalid, the remaining provisions remain in force.

22.16. Language. These Terms are published in English. We can provide a Polish translation on request; the English version is binding.

22.17. Assignment. You may not assign your rights under the contract without our consent. We may assign the contract to a legal successor, informing you of this. As a Consumer you may then terminate the contract free of charge.

22.18. These Terms take effect on 2 October 2026.

Annex A: Model withdrawal form

The model withdrawal form for Consumers is published at the end of the Refund and Cancellation Policy: Model withdrawal form. Using the form is not mandatory.
