Scope 1.1. This policy covers the price, the trial, cancellation, automatic renewal, refunds and your data after the contract ends. It is part of the [Listeo Cloud Terms of Service](https://purethemes.net/listeo/listeo-cloud/terms/) (the “Terms”). “Instance” and “Panel” have the meaning given in [section 2.1 of the Terms](https://purethemes.net/listeo/listeo-cloud/terms/#section-2) . 1.2. Payment is collected by a Merchant of Record (“MoR”): currently Dodo Payments; Paddle and Polar are planned. The MoR sells you the subscription in its own name, issues your receipt and processes refunds. Its name is on the receipt. 1.3. For consumers, section 6 prevails over the rest of this policy. We treat every natural person as a consumer unless the purchase is clearly professional (definition of Consumer in [section 22.2 of the Terms](https://purethemes.net/listeo/listeo-cloud/terms/#section-22) ). ## 2. Plan and prices 2.1. We offer one plan: Listeo Cloud. It includes WordPress, the Listeo theme and all premium plugins (Monetization Plus, PurioChat Pro, Listing Data Importer, Booking Plus). 2.2. The subscription is annual. The regular price is 299 USD per year. 2.3. Promotional price: 199 USD for the first year. It applies to all new customers. The promotion is limited in time and runs until withdrawn. Withdrawing the promotion does not change a price you have already paid. 2.4. Every renewal costs 299 USD per year. This also applies to customers who paid 199 USD for the first year. 2.5. Before you pay, the MoR checkout clearly shows: 199 USD for the first year and 299 USD for each later renewal. Prices are net: the MoR adds VAT or other tax applicable in your country. You see the final amount including taxes at the MoR checkout before you pay. ## 3. Trial 3.1. The trial lasts 7 days. When you start it, you enter a payment card at the MoR checkout. Nothing is charged during the trial. 3.2. One trial per customer. We do not give another trial when, according to the order history held by the Merchant of Record, the same email address or payment method was already used for a trial. 3.3. 3 days before the trial ends we send an email with the charge date, the amount and how to cancel. 3.4. If you do not cancel before the trial ends, the MoR automatically charges 199 USD for the first year. Your paid year starts on that day. If the charge fails, section 10 applies (7 days grace, then suspension). 3.5. Cancelling during the trial: you pay nothing. Your Instance works until the end of the 7-day trial. Then we suspend it. We delete the Instance data 30 days after suspension. During that time you can request a data export (section 11). 3.6. You cancel a trial the same way as a subscription (section 4). ## 4. How to cancel 4.1. You can cancel at any time. You do not need to give a reason. 4.2. Through the Merchant of Record: use the customer portal link in your receipt. No phone call is needed. 4.3. By email: write from your account address to [[email protected]](/cdn-cgi/l/email-protection#b4c7c1c4c4dbc6c0f4c4c1c6d1c0dcd1d9d1c79adad1c0) , subject “Cancellation”. The sending date counts. We confirm on business days, without undue delay. A renewal charged after a timely cancellation is refunded. 4.4. Cancellation takes effect at the end of the paid year. Your Instance works until then. Nothing more is charged after that. 4.5. Download a copy of your data before the paid year ends (section 11). You can request a data export at [[email protected]](/cdn-cgi/l/email-protection#cdbeb8bdbda2bfb98dbdb8bfa8b9a5a8a0a8bee3a3a8b9) before cancelling. ## 5. Automatic renewal 5.1. The subscription renews automatically every year until you cancel. Every renewal costs 299 USD (section 2). Price including tax, billing period and renewal terms are shown at the MoR checkout before you pay. You give your consent to automatic renewal at purchase. 5.2. After purchase you receive an email from us or the MoR confirming the renewal terms and how to cancel. Keep it. 5.3. 30 days before each annual renewal we send a reminder. It states the renewal date, the amount of 299 USD and how to cancel: through the Merchant of Record’s customer portal link in your receipt or by email to [[email protected]](/cdn-cgi/l/email-protection#a4d7d1d4d4cbd6d0e4d4d1d6c1d0ccc1c9c1d78acac1d0) . 5.4. Price changes: we give 30 days’ notice by email. The new price applies from the first renewal after the notice period. You can cancel before it takes effect. ## 6. Consumers: right of withdrawal 6.1. As a consumer you may withdraw within 14 days of concluding the contract, without giving a reason. The contract is concluded on the day the trial starts or, if you buy without a trial, on the day of purchase. 6.2. For an order with a trial, your Instance is created right away, on the day the trial starts. We do not ask for a request for early start in that case. For a purchase without a trial (if available), your Instance is created before the 14-day period ends only if you expressly request it by email to [[email protected]](/cdn-cgi/l/email-protection#e1929491918e9395a1919493849589848c8492cf8f8495) . We confirm your request by email. For a purchase without a trial and without this request, your Instance is created after 14 days, and withdrawal in that time costs you nothing. 6.3. Trial. You have 14 days from the start of the trial. If you withdraw before the charge, the trial ends at no cost. If you withdraw after the 199 USD charge, the MoR refunds the full 199 USD within 14 days by the same payment method. We deduct nothing for the days you used the Service. 6.4. Purchase without a trial. If you made the request in section 6.2 and withdraw, you pay pro rata for the days from creation of your Instance to the day of withdrawal, calculated at the annual price you paid. The MoR refunds the rest within 14 days by the same payment method. Example for a purchase without a trial: you paid 199 USD and withdraw 5 days after your Instance was created. You pay 5/365 of 199 USD, about 2.73 USD. The refund is about 196.27 USD. 6.5. The sending date counts. We confirm receipt by email. 6.6. Your rights for lack of conformity of the Service ([section 22.6 of the Terms](https://purethemes.net/listeo/listeo-cloud/terms/#section-22) ) are unaffected. ## 7. Refunds beyond statutory rights 7.1. We do not offer a money-back guarantee. Beyond section 6 and your statutory rights, a started year is not refunded, including after cancellation. 7.2. If Polar is the MoR on your receipt, it may refund at its own discretion within 60 days of purchase, independently of this policy. ## 8. Who processes refunds 8.1. Refunds are processed by the MoR named on your receipt. Section 6 refunds are mandatory. Otherwise we decide and instruct the MoR. The MoR returns the money to the original payment method and issues a credit note, usually within 5 to 10 business days depending on your bank. 8.2. You can also contact the MoR directly using the details on your receipt. ## 9. Chargebacks 9.1. Contact us before disputing a charge with your bank. Most billing questions are resolved on business days, without undue delay. A chargeback takes weeks and costs us fees. 9.2. A chargeback for a period in which the Service was used is treated like a failed payment (section 10). Any suspension is explained by email ([section 14 of the Terms](https://purethemes.net/listeo/listeo-cloud/terms/#section-14) ). ## 10. Non-payment 10.1. If a renewal or the first charge after the trial fails, the MoR retries the charge and informs you by email. You update your payment method with the MoR: through the link in your receipt or in its customer portal, not in the Panel. 10.2. For 7 days from the failed payment your Instance works normally (grace period). 10.3. Then we suspend the Instance. The site is unavailable to visitors. You keep Panel access. On your request we make your data available for download (section 11). Paying the outstanding amount restores the Instance. 10.4. If payment is not received within 30 days of suspension, the contract expires and the Instance and its data are deleted. The suspension period is also the data retrieval period of section 11 and is not counted again. ## 11. Data after the contract ends 11.1. When the contract ends for any other reason, your Instance data stays available for 30 days. You can request a free machine-readable export ([section 16 of the Terms](https://purethemes.net/listeo/listeo-cloud/terms/#section-16) ). If you request it within this period, we do not delete data before the archive is available. 11.2. Then we delete the Instance, database, files and media. Backups are deleted within their rotation window, no later than 90 days after the data retrieval period ends. We confirm deletion on request. 11.3. We remove the temporary .listeo.pro address and your domain’s TLS certificate. The domain stays yours. Your GPL rights to the PHP code do not expire. The licence to proprietary assets, and your updates and support, end with the subscription. ## 12. Customers in the United States 12.1. We present the automatic renewal terms (price, period, how to cancel) clearly and conspicuously before purchase. Renewal requires your affirmative consent. After purchase you receive an acknowledgement you can retain. 12.2. We send a reminder before the trial ends and before each annual renewal (sections 3.3 and 5.3). 12.3. You can cancel online at any time, through the Merchant of Record’s customer portal link in your receipt or by email to [[email protected]](/cdn-cgi/l/email-protection#592a2c2929362b2d19292c2b3c2d313c343c2a77373c2d) . ## 13. Business customers 13.1. If you buy for professional purposes (definition of Consumer in [section 22.2 of the Terms](https://purethemes.net/listeo/listeo-cloud/terms/#section-22) ), section 6 does not apply unless your country’s law provides otherwise. Fees are payable a year in advance and are not refunded on cancellation. Where the Provider terminates a consumer’s contract, section 22.13 of the Terms applies. ## 14. Contact and complaints 14.1. For a consumer, no answer within this time means the complaint is accepted. Consumers may also use out-of-court dispute resolution ([section 22.10 of the Terms](https://purethemes.net/listeo/listeo-cloud/terms/#section-22) ). ## Model withdrawal form For consumers. Complete and return this form only if you wish to withdraw from the contract within 14 days of its conclusion. The contract is concluded on the day the trial starts or, if you buy without a trial, on the day of purchase. Using this form is not mandatory; any clear statement is enough. We confirm receipt by email without undue delay. ### Withdrawal and cancellation are different Withdrawal ends the contract at once. With a trial: before the charge you pay nothing, and after the charge you get a full refund of 199 USD, with no deduction for the days of use. For a purchase without a trial, the refund is reduced pro rata for the days of use if you asked for the service to start before the 14 days ended. Cancellation ends the contract at the end of the paid year or at the end of the trial.
